Acceptance
By creating a Zpay account or using the Zpay services, you agree to be bound by these Terms. If you are using Zpay on behalf of an organization, you represent that you have authority to bind that organization.
Account use
You are responsible for safeguarding your credentials and for all activity under your account. You must promptly notify us of any suspected unauthorized access.
Fees & billing
Fees are charged per the plan selected in your dashboard or your signed enterprise agreement. Per-transaction fees are deducted at settlement. VAT is added on invoice. Fee changes are notified at least 30 days in advance.
Acceptable use
You may not use Zpay for activities prohibited by Philippine law, BSP regulations, or applicable card-network and e-wallet rules. Prohibited categories include but are not limited to: unlicensed gambling, fraudulent or deceptive practices, and processing payments on behalf of unauthorized third parties.
Disputes & chargebacks
You agree to assist with the investigation of payment disputes, provide supporting documentation in a timely manner, and to fund chargebacks, reversals, and refunds as they occur.
Liability cap
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to these Terms is limited to the fees you paid to Zpay in the three (3) months preceding the event giving rise to the claim.
Indemnity
You agree to indemnify Zpay against third-party claims arising out of your use of the services in breach of these Terms, your acts or omissions, or your violation of applicable law.
Termination
You may terminate your account at any time. We may suspend or terminate access where required by law, by a regulator, or where you materially breach these Terms. Sections relating to fees, liability, indemnity, and governing law survive termination.
Governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles.
Venue
The exclusive venue for any dispute arising out of these Terms is the proper courts of Taguig City, Metro Manila, Philippines, to the exclusion of all other venues.
